Important: Please read these Terms carefully before using our Service. By using Audiverify, you agree to be bound by these Terms.
1. Who we are
Audiverify (“we”, “us”, “our”) is operated by Motiva LTD, Company Number 15672311, 85 Great Portland Street, First Floor, London, England, W1W 7LT.
2. What Audiverify provides
Audiverify provides documentation and record verification only. We record user-submitted information (“Declarations”), generate technical fingerprints (such as SHA-256), create timestamped records, and provide verification links and downloadable documents.
3. What Audiverify does not do
Audiverify does not:
- grant licenses or permissions
- clear rights or confirm legal ownership
- verify authorship, originality, or rightsholder status
- provide legal advice
- guarantee acceptance by any platform, distributor, label, PRO/CMO, or authority
4. Your responsibilities
You agree that you will:
- submit only content and information you have the right to submit
- obtain all necessary permissions (samples, interpolations, covers, performer rights, label approvals, etc.)
- ensure your submissions are accurate and not misleading
- use Audiverify lawfully and responsibly
You are solely responsible for any claims, disputes, losses, or legal consequences arising from your submissions or use of the Service.
5. Declarations are recorded “as submitted”
Audiverify records declarations as submitted. Audiverify does not verify the truth, completeness, or legal effect of any declaration.
6. Verification meaning
A verification link may confirm that a record exists in Audiverify, and may confirm a match against the stored fingerprint or data within Audiverify’s system. Verification does not prove ownership, rights, licensing, or legal clearance.
7. Account registration
To use the Service, you must register and provide accurate, complete information. You agree to:
- Keep your login credentials confidential and secure
- Use strong passwords meeting our security requirements
- Be fully responsible for all activities under your account
- Immediately notify us if you suspect unauthorized access
- Register only one account per person (unless explicitly permitted)
- Not share your account with others
Accounts registered by bots or automated methods are not permitted. We reserve the right to suspend or delete accounts that violate these Terms without notice or compensation.
8. Credits, payments, and pricing
Audiverify operates on a credit-based system. Credits represent access to create documentation records.
- Prices are displayed in GBP and include VAT where applicable
- Payments are processed securely via Stripe
- You must provide accurate billing information
- Credits are non-transferable between accounts
- We reserve the right to change pricing with reasonable notice
If payment fails or is refused, we are under no obligation to fulfill the purchase order.
9. Right to cancel (UK Consumer Rights)
Under UK consumer law, you may have a right to cancel within 14 days of purchase. However, this right does not apply once:
- You have used any credits to create documentation records
- Digital content has been delivered and you consented to immediate performance
By purchasing credits and using them, you acknowledge that you lose your right to cancel for those used credits. For unused credits, contact us within 14 days of purchase if you wish to request a refund.
10. Refunds
Unless required by applicable consumer protection law:
- Used credits are non-refundable
- Unused credits may be refundable within 14 days of purchase (UK consumers)
- Technical errors or unauthorized transactions will be reviewed on a case-by-case basis

11. Acceptable use
You agree not to:
- Upload unlawful content or infringe third-party rights
- Impersonate others or submit false ownership claims
- Use the Service to evade platform rules or commit fraud
- Attempt to disrupt, reverse engineer, or abuse the Service
- Use automated bots or scripts without permission
- Resell or redistribute the Service without authorization
We reserve the right to suspend or terminate accounts, report misconduct to authorities, and take legal action where appropriate.
12. Intellectual property
All intellectual property rights in the Service, including software, design, trademarks, and documentation, are owned by Motiva LTD or our licensors. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.
You retain ownership of content you submit. By using the Service, you grant us a limited license to process, store, and display your content as necessary to provide the Service.
13. Software license
Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-sublicensable, and non-transferable license to use the Service for its intended purpose.
- This license does not grant access to source code
- All algorithms and technical implementations remain our property
- This license terminates immediately upon termination of your account
14. Digital product guarantee (UK/EU)
Under UK and EU law, digital products must conform to their description. Our Service is provided “as described” and we guarantee it will:
- Function as documented on our website
- Generate certificates and documentation as described
- Store records securely with industry-standard practices
If the Service does not conform, you may be entitled to a repair, replacement, or refund under applicable consumer law. This does not affect your statutory rights.
15. Service availability
We aim to keep the Service available and secure, but we do not guarantee uninterrupted operation. Maintenance, outages, or third-party service disruptions may occur.
16. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for lost profits, revenue, data, or business opportunities
- We are not liable for decisions made by platforms, distributors, labels, or authorities
- We are not liable for third-party actions or content
Our total liability for any claim will not exceed the amount you paid to us in the 12 months preceding the event, or GBP 100, whichever is greater.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
17. Indemnification
You agree to indemnify and hold harmless Motiva LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service or violation of these Terms
- Content you submit that infringes third-party rights
- False or misleading declarations you make
- Your violation of any applicable law or regulation
18. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, except as required by law. We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Results will meet your requirements or expectations
- Any documentation will be accepted by third parties
- The Service will prove ownership, authorship, or legal rights
19. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if required to comply with law.
20. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes via email or prominent notice on the Service. Continued use after changes constitutes acceptance.
If you do not agree with updated Terms, you must stop using the Service.
21. Dispute resolution
We encourage you to contact us first to resolve any disputes amicably. Send complaints to support@audiverify.com and we will respond within 14 days.
If we cannot resolve a dispute, UK consumers may use certified alternative dispute resolution providers. Your statutory rights to take legal action remain unaffected.
22. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. Invalid provisions will be modified to the minimum extent necessary to make them valid while preserving their intent.
23. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction, except:
- UK consumers may bring claims in their local courts
- EU consumers may benefit from mandatory consumer protection laws of their country
- Nothing affects your statutory rights under applicable consumer law
