Important: Please read these Terms carefully before using our Service. By using Audiverify, you agree to be bound by these Terms.
1. Who we are
Audiverify (“we”, “us”, “our”) is operated by Motiva LTD, Company Number 15672311, 85 Great Portland Street, First Floor, London, England, W1W 7LT.
2. The Service we provide
Audiverify is a documentation and record-keeping platform. We allow users to:
- Upload audio files and generate SHA-256 cryptographic fingerprints
- Create timestamped documentation records (“Certificates”)
- Make self-declared statements about AI involvement and creative process
- Upload supporting documents and evidence
- Generate verification links, badges, Evidence Packs, and other documentation tools
Audiverify records declarations as submitted. We do not verify the truth, completeness, or legal effect of any declaration.
3. What Audiverify does NOT do
Audiverify does not and will never:
- Verify, investigate, or guarantee the truthfulness of any user declaration
- Confirm copyright ownership, originality, authorship, or rightsholder status
- Clear rights, grant licenses, or perform legal due diligence
- Act as a court, arbitrator, or official rights authority
- Provide legally binding decisions on ownership or copyright disputes
- Guarantee that any document or certificate will be accepted by any third party (distributor, platform, PRO, court, etc.)
4. Verification meaning
A verification link or certificate confirms that a record exists in Audiverify’s system and may confirm a match against the stored fingerprint or data within our system only. Verification does not prove ownership, rights, licensing, or legal clearance.
5. Dispute facilitation process
In cases of conflicting claims, Audiverify may offer an administrative facilitation process. This may include:
- Reviewing submitted documentation from both parties
- Notifying involved parties of the claim and outcome
- Recording an administrative finding based on available evidence
- Facilitating voluntary transfer of records where both parties consent
Any administrative finding or action by Audiverify staff is strictly administrative and does not constitute a legal determination of ownership, copyright, or any other legal right. Such findings:
- Do not constitute legal advice or judgment
- Do not determine copyright ownership or legal rights
- Do not replace formal arbitration or court proceedings
- Are not binding on third parties, including distributors, labels, PROs, or courts
Both parties remain responsible for pursuing formal legal remedies if necessary. We strongly advise seeking independent legal counsel for any ownership or copyright dispute.
6. Your responsibilities
You are solely responsible for:
- Ensuring you have all necessary rights and permissions for the content you submit
- Obtaining proper clearances for samples, interpolations, covers, performer rights, and label approvals
- The accuracy and truthfulness of your declarations
- All legal consequences arising from your use of the Service
7. Account registration
To use the Service, you must register and provide accurate, complete information. You agree to:
- Keep your login credentials confidential and secure
- Be fully responsible for all activities under your account
- Immediately notify us if you suspect unauthorized access
- Register only one account per person unless explicitly permitted
- Not share your account with others
Accounts registered by bots or automated methods are not permitted. We reserve the right to suspend or delete accounts that violate these Terms.
8. Credits, payments, and pricing
Audiverify operates on a credit-based system. Credits represent access to create documentation records.
- Prices are displayed in GBP and include VAT where applicable
- Payments are processed securely via Stripe
- Credits are non-transferable between accounts
- We reserve the right to change pricing with reasonable notice
9. Right to cancel (UK Consumer Rights)
Under UK consumer law, you may have a right to cancel within 14 days of purchase. However, this right does not apply once:
- You have used any credits to create documentation records
- Digital content has been delivered and you consented to immediate performance
For unused credits, contact us within 14 days of purchase to request a refund.
10. Refunds
Unless required by applicable consumer protection law:
- Used credits are non-refundable
- Unused credits may be refundable within 14 days of purchase (UK consumers)
- Technical errors or unauthorized transactions will be reviewed on a case-by-case basis

11. Acceptable use
You agree not to:
- Upload unlawful content or infringe third-party rights
- Impersonate others or submit false ownership claims
- Use the Service to evade platform rules or commit fraud
- Attempt to disrupt, reverse engineer, or abuse the Service
- Use automated bots or scripts without permission
- Resell or redistribute the Service without authorization
12. Intellectual property
All intellectual property rights in the Service, including software, design, trademarks, and documentation, are owned by Motiva LTD or our licensors. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.
You retain ownership of content you submit. By using the Service, you grant us a limited license to process, store, and display your content as necessary to provide the Service.
13. Artificial Intelligence and Automated Processing
Our Service uses AI and machine learning for audio fingerprinting, AI-generated content detection, and similarity analysis. AI outputs are provided for informational purposes only and may contain errors. We do not use your content to train AI models without explicit consent.
AI Limitations: Results from AI analysis should not be solely relied upon for legal or business decisions without independent human review.
14. PRO Registration Tools
Audiverify provides tools to help you prepare documentation for submission to Performing Rights Organisations (PROs) such as PRS, ASCAP, BMI, and GEMA. These tools:
- Generate pre-formatted files based on your self-declared data
- Provide guidance documents and step-by-step instructions
- Do not guarantee acceptance by any PRO or collecting society
- Do not constitute registration or submission on your behalf
You remain solely responsible for completing and submitting your own PRO registrations.
15. Service availability
We aim to keep the Service available and secure, but we do not guarantee uninterrupted operation. Maintenance, outages, or third-party service disruptions may occur.
16. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for lost profits, revenue, data, or business opportunities
- We are not liable for decisions made by platforms, distributors, labels, or authorities
- We are not liable for third-party actions or content
Our total liability for any claim will not exceed the amount you paid to us in the 12 months preceding the event, or GBP 100, whichever is greater.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
17. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, except as required by law. We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Results will meet your requirements or expectations
- Any documentation will be accepted by third parties
- The Service will prove ownership, authorship, or legal rights
18. Indemnification
You agree to indemnify and hold harmless Motiva LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service or violation of these Terms
- Content you submit that infringes third-party rights
- False or misleading declarations you make
- Your violation of any applicable law or regulation
19. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if required to comply with law.
20. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes via email or prominent notice on the Service. Continued use after changes constitutes acceptance.
21. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that UK consumers may bring claims in their local courts and EU consumers may benefit from mandatory consumer protection laws of their country.
22. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
23. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Motiva LTD regarding the Service and supersede all prior agreements and understandings.
